By accessing or using Ontrakt ("the Service"), provided by Ontrakt, LLC ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity. If you do not agree to these terms, do not use the Service.
Ontrakt is an AI-powered business management platform for contractors, home inspectors, and tradespeople. The Service includes AI-generated estimates and proposals, client relationship management, invoice and payment tracking, job scheduling and dispatch, automated email and SMS marketing, home inspection report generation, document management and e-signatures, and integration with third-party services.
You must register for an account to use most features. You agree to provide accurate, current, and complete information during registration, maintain and update your account information, keep your password secure and confidential, and notify us immediately of any unauthorized account use. You are solely responsible for all activity that occurs under your account.
All estimates, cost projections, reports, legal documents, and other AI-generated content ("AI Output") are produced by machine learning models and are provided for informational and drafting purposes only. AI Output may contain errors, omissions, or outdated information and is NOT a licensed professional opinion or guarantee. It may not account for local building codes, permit requirements, material costs, or site conditions. You are a licensed professional responsible for verifying all AI Output before presenting it to clients. Ontrakt is NOT a licensed contractor, home inspector, engineer, or attorney. You agree to indemnify Ontrakt from any claims arising from your reliance on AI Output without independent verification.
The Service is offered on a subscription basis. Plans: Starter $97/month (2 users, 50 clients, 5 AI estimates/month), Professional $197/month (unlimited clients, all estimate types, contracts, e-signatures, campaigns), Business $397/month (+ insurance estimating, social automation, white-label PDF, API access). Add-ons: Brand Intelligence $47/month, Home Inspection Reports $99/month. Subscriptions are billed in advance via Stripe. We offer a 14-day money-back guarantee for new subscribers. After 14 days, payments are non-refundable.
You agree to use the Service only for lawful purposes. You agree not to: violate any applicable laws; engage in fraudulent or deceptive practices; submit false client or project information; reverse engineer or attempt to extract source code; use the Service in a way that could damage or impair it; transmit malware or destructive code; or send unsolicited commercial communications in violation of applicable law (CAN-SPAM, TCPA).
You retain all ownership rights to data you upload or create ("Customer Data"). You grant us a limited license to store, process, and use Customer Data solely to provide the Service. We may use aggregated, de-identified data derived from usage to improve our AI models. We will not use identifiable client information (names, addresses, phone numbers) for AI training without explicit consent. Upon account termination, we retain Customer Data for 90 days, after which it may be permanently deleted.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI Output will be accurate, complete, or appropriate for your use.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONTRAKT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM. This limitation applies to AI Output inaccuracies, client disputes from AI-generated proposals, and any work performed based on AI-generated estimates.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account immediately if you violate these Terms or engage in fraudulent activity. Upon termination, your right to use the Service ceases. We retain Customer Data for 90 days after termination.
We may update these Terms at any time. We will notify you of material changes via email or prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, seated in Maryland. You waive the right to participate in class action lawsuits.
