Ontrakt provides AI-generated construction estimates, proposals, and reports ('AI Content') to assist licensed contractors in preparing bids and scope documents. All AI Content is generated based on photos, documents, voice notes, and information you provide. AI Content is an initial draft tool only — it is not a certified engineering calculation, a licensed contractor's professional opinion, or a guarantee of actual project costs. You acknowledge that material prices, labor rates, and scope requirements vary by location, time, and project conditions, and that the AI model cannot account for all variables.
You, the licensed contractor, are solely and exclusively responsible for: (a) reviewing, verifying, and correcting all AI Content before presenting it to any client or third party; (b) ensuring all estimates comply with applicable building codes, licensing requirements, and professional standards for your jurisdiction and trade; (c) obtaining all required permits and inspections; (d) the accuracy of any proposal, contract, or work order you present to a client; and (e) all work performed under any agreement you enter into with a client. Ontrakt's AI tools are a drafting aid, not a substitute for your professional judgment.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONTRAKT, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM: (A) ERRORS OR INACCURACIES IN AI-GENERATED ESTIMATES; (B) RELIANCE ON AI CONTENT WITHOUT INDEPENDENT VERIFICATION; (C) CLIENT DISPUTES RELATED TO ESTIMATE ACCURACY; (D) PROJECT COST OVERRUNS OR MATERIAL SHORTFALLS; OR (E) ANY OTHER CLAIM ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO ONTRAKT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Ontrakt, LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these terms; (b) any estimate, proposal, or work performed by you or your employees based on AI Content; (c) any client dispute, property damage claim, or personal injury claim arising from work performed under any agreement generated or assisted by the Service; or (d) your violation of any applicable law, regulation, or professional licensing requirement.
Ontrakt is a software platform, not a licensed contractor, engineer, architect, home inspector, or attorney. Nothing in the Service constitutes professional advice. AI-generated home inspection reports are informational summaries — not certified inspection reports. AI-generated insurance restoration estimates are drafting tools — not Xactimate-certified appraisals. Always consult qualified licensed professionals for work requiring professional certification or licensure.
By uploading photos, videos, documents, voice recordings, or other data to Ontrakt, you grant Ontrakt a limited, non-exclusive license to process that data to deliver the Service to you. You represent that you have all necessary rights to upload such data and that doing so does not violate any third-party rights or applicable law. Ontrakt may use anonymized, aggregated data derived from your use of the Service to improve AI models and the platform, provided no personally identifiable information about your clients is used without consent.
This Agreement shall be governed by the laws of the State of Maryland, without regard to its conflict-of-law provisions. Any dispute arising from this Agreement shall be submitted to binding arbitration in Baltimore, Maryland under the rules of the American Arbitration Association. You waive the right to participate in class action litigation or class arbitration against Ontrakt.
Ontrakt may update this Contractor Agreement at any time. Continued use of the Service following notice of changes constitutes acceptance of the revised Agreement. If you do not agree with any modification, your sole remedy is to discontinue use of the Service.
